The "Responsible Party" is the person the IRS has on file as the primary controller of the company's funds and assets. Generally, it is whoever originally applied for the EIN.
The problem is common: you hired an agent years ago to open the company, or you had a partner who is no longer there. If that person still appears as Responsible, confidential IRS letters will go to him/her, not you.
The IRS requires this information to be updated within 60 days of any change.
If the IRS attempts to contact you about an audit or tax issue and the letter goes to an old address or a person no longer associated, you may miss appeal deadlines and suffer liens without even knowing it.
If you bought an existing LLC or a majority partner sold their share, the IRS must know who the new responsible party is.
If you moved your office or changed virtual address provider, you must notify to receive your tax mail.
If your previous accountant or registered agent processed the EIN using their own name (common but risky practice), you must change it to yours.
Ensure that only you have authority to speak with the IRS about your tax account.

We fill out and send the official "Change of Address or Responsible Party" form to the corresponding IRS center.
The IRS takes between 4 to 6 weeks to process the change internally. We will notify you when it has been sent.
